Product Ordering Terms and Conditions

Purchasers may submit Orders (each an “Order”) for Vector Laboratories products (each a “product”) by using the "Submit Order" button in the Shopping Cart on our website or via phone, or email.

Orders must include the product catalog number(s), unit size, quantity, and the following contact information:

Payment Terms

• Seller will invoice within one (1) business day upon receipt of the Order for prepaid Orders.
  Prepayment may be made through credit card or wire transfer.
• Seller will invoice upon shipment for all other payment terms
  • Credit card payment terms are preauthorized at time of Order and charged upon invoice.
  • Subject to Seller’s credit review and approval of Purchaser, standard payment terms for Orders are net 30 unless otherwise agreed between parties.

Orders will usually be processed the same day they are received if placed during business hours and the expected shipping date will then be communicated to the Purchaser. In stock products typically ship the same day or next day, dependent on the time the Order was received and the shipping conditions of the product (please see table below).

Products are packed and shipped according to product requirements. Orders with multiple products requiring different shipping conditions will ship in separate packages. Upon receipt, product end-users ("users") should remove all products from their shipping containers and store them under the recommended storage conditions as defined in each individual product’s datasheet or manual. Standard Shipping and Handling Fees will be applied when the Order is processed.

Unless otherwise set forth in writing by Seller or otherwise agreed between the parties

• Shipments in the United States are made DAP (Incoterms 2010) at the address designated by the Purchaser at the time the Order is submitted to Seller.
• Shipments outside of the United States are made FCA (Incoterms 2010) at the address of the Seller designated at time of shipment

For shipments in the United States, title and risk of loss transfers to Purchaser when Product is delivered to the Purchaser’s designated destination address.
For shipments outside the United States, title and risk of loss transfers to Purchaser at Seller’s location, designated at the time of shipment.

In most cases Orders may not be cancelled once processed. If you would like to cancel an Order, please contact Vector Laboratories Customer Success Team.
Because Vector Laboratories does not restock products that have been shipped, we do not allow product returns unless upon receipt, the product is damaged or does not perform to specifications.
Any problems associated with any shipment of Vector Laboratories products must be reported to Vector Laboratories in writing within 10 business days of receipt. Customer must obtain written authorization from Vector Laboratories to return a product. Return authorizations may be requested from our Customer Success Team (customerservice@vectorlabs.com).

If you experience a problem that appears to be related to product performance and the product is within the expiration date (the period of guarantee), please contact Technical Services for instructions on returning the product. Prior authorization from Vector Laboratories is required for all product returns.

All Vector Laboratories products are intended for research use only with the exception of Fix & Perm®. CE/IVD registered Fix & Perm® kits are available for European customers in a clinical laboratory settings (contact Customer Success for further information). Purchaser acknowledges that the products have not been approved by the United States Food and Drug Administration or any other regulatory entity for any specific intended user and Purchaser is responsible for any regulatory approvals that are necessary for Purchaser’s or any user’s intended use of product.

Information supplied with each product is believed to be accurate, but no warranty or guarantee is offered to Purchaser or any user for the products, because the ultimate conditions of use are beyond Vector Laboratories’ control. The information supplied with each product is not to be construed as a recommendation to use this product in violation of any patent or other third party intellectual property rights, and Vector Laboratories will not be held responsible for any infringement of intellectual property rights or other violation of applicable laws or regulations that may occur with the use of its products by Purchaser or any user. Purchaser will indemnify, defend and hold harmless Vector Laboratories, its affiliates and their respective directors, officers, shareholders, employees, agents, representatives, affiliates, successors or assigns from and against any and all losses, damages, liabilities, deficiencies, claims, demands, actions, judgments, settlements, interest, awards, penalties, fines, costs or expenses of whatever nature or kind (including reasonable attorneys' fees) arising out of or relating to third party claims arising from Purchasers’ or any other user’s use of Vector Laboratories’ products, including but not limited to such damages arising from personal injury, property damage, or infringement of intellectual property rights claims arising from the use of the products. In no event will Vector Laboratories be responsible for any loss of profit or indirect, special, incidental, consequential or punitive damages (including, but not limited to, related to any personal injuries, property damage or infringement of intellectual property rights) of Purchaser or its representatives, agents or affiliates or any user resulting from use of Vector Laboratories products. Vector Laboratories’ liability to Purchaser or any user of Products for damages that do not result from any fault of the Purchaser or user, will be limited to replacement of the Product(s) only, and in no event shall Vector Laboratories’ liability exceed the actual purchase price received by Vector Laboratories for the Product(s) at issue. VECTOR LABORATORIES FURTHER DISCLAIMS ANY AND ALL EXPRESS AND IMPLIED OR STATUTORY WARRANTIES WITH RESPECT TO THE PRODUCTS, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OR NON-CONFORMANCE TO DESCRIPTION, OR WARRANTIES ARISING FROM COURSE OF DEALING, TRADE PRACTICE OR OTHERWISE.

Due to the highly specific nature of primary antibodies and antigens, Vector Laboratories cannot predict or be held responsible with respect to how these products will behave in Purchasers’ specific application. Researchers using these products should conduct optimization studies to achieve the optimal result possible for their intended application. Vector Laboratories is not responsible for performance of products used outside their intended application. Vector Laboratories disclaims any and all responsibility for any injury or damage which may be caused by improper use or handling of the product.

All disputes arising out of an Order and the purchase, shipment or use of a Vector Laboratories product by Purchaser or any user pursuant to these Order Instructions will be governed by California law and subject to the exclusive jurisdiction and venue of the state courts located in Alameda County, California and the federal courts located in the Northern District of California, and each Party hereby consents to the personal jurisdiction thereof.
